If your company is registered outside of Nevada it is required to obtain a certificate of authority before transacting business in the state.

 

This process is called “Foreign Qualification”, and it involves filing Qualification to do Business in Nevada form with the Nevada Secretary of State.

 

To approve foreign qualification application Nevada Secretary of State does not require any documents from home state for LLCs, but requires both certificate of good standing or its equivalent and certified copy of articles with all amendments from the home state for corporations. The certificate and certified copy must be current within 90 days. Keep in mind, foreign entity is required to appoint and maintain a registered agent in Nevada on file at all times in order to be in good standing.

 

The filing process with Nevada Secretary of State could take about 2 business weeks, plus additional time for mailing. Expedited processing on 1 business day is available for extra fee. Corporate applicants should also allow additional time for obtaining the certificate of good standing and certified copy of articles from their home state.

 

REMEMBER: Nevada requires each foreign corporation to publish a statement of it last calendar year’s business in two issues of a newspaper published in Nevada that has a weekly circulation of at least 1,000. This trule applies ONLY to registered foreign corporations.
