Arizona allows only corporations (for-profit and non-prosit) to domesticate in the state. The procedure of domesticating your corporation in Arizona involves these steps:
- Step 1: Your corporation doesn’t need to be qualified as foreign entity in Arizona, but if it is then its A.C.C. number should be listed on the Articles.
- Step 2: A Certificate of Good Standing needs to be obtained from the current state of incorporation. It must be dated not more than 30 days before its delivery to Arizona Corporation Commission.
- Step 3: The foreign corporation is then converted into a Arizona corporation by filing Articles of Domestication.
- Step 4: Your corporation is then dissolved in the home state (or “domesticated out”, depending on the state).
Once the Articles of Domestication are approved, the corporation is deemed to be incorporated under the laws of Arizona. The corporation keeps its original incorporation date, and is considered to be the same corporation that existed in the state or country of incorporation.
