Best way to incorporate online shop selling to Europe

Asked by: Mitch  — 18 June, 2013

Hello,
I’m setting up an online shop selling exclusively to EU customers and I was wondering what would be the best way to incorporate.
I have no brick and mortar outlet and outsource production, shipping and customer service to a German company.
I would be living part time in northern Colorado and I’m considering Wyoming as a registering state.
I have no partner and wish to maximize profit and minimize paperwork.
Any idea?

Mitch,

Since all of your business will be outsourced, you can technically register in any state. Both Colorado and Wyoming are relatively easy, cost-effective states to register and maintain a business in. Of course Wyoming is a popular incorporation destination for foreign-based and online-based businesses with no physical presence anywhere in the U.S.

Assuming you live in Colorado and run the business from your home, it may not be a bad idea to register there, especially if you plan on taking deductions related to your home office. The registration and annual fees in Colorado are a little less (among the lowest in the country) in comparison to Wyoming.
